PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY IN THEIR ENTIRETY BEFORE USING THIS PLATFORM OR ANY SERVICES MADE AVAILABLE USING THE PLATFORM. BY CLICKING "I ACCEPT," OR BY ACCESSING OR USING THE PLATFORM, YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE TERMS AND CONDITIONS. THIS AGREEMENT CONTAINS PROVISIONS THAT LIMIT OUR LIABILITY TO YOU AND REQUIRE YOU TO RESOLVE ANY DISPUTE WITH US THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS, AND NOT BY A LAWSUIT OR RESORT TO COURT PROCESS. THIS MEANS THAT (I) YOU ARE GIVING UP, AND YOU WAIVE, THE RIGHT TO HAVE ANY SUCH DISPUTE DECIDED IN A COURT OF LAW BEFORE A JURY OR A JUDGE (EXCEPT AS SET FORTH EXPRESSLY IN SECTION 22), AND (II) THAT YOU ARE GIVING UP, AND YOU WAIVE, THE ABILITY TO PURSUE ANY SUCH DISPUTE IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. PLEASE SEE SECTIONS 18, 19, 20 AND 22 FOR MORE INFORMATION.

  1. OUR ROLE AND ACCEPTANCE OF THESE TERMS AND CONDITIONS 

Welcome to the website or mobile application operated by Ayobody Pte Ltd, doing business as "Intea Health" or "Intea" ("Intea," "we," "us" or "our"). The following terms and conditions ("Terms and Conditions") govern your access to and use of the Intea Health website and any other digital interfaces and properties (e.g., mobile applications) owned, controlled by, or made available to you by Intea or its affiliates (collectively, the "Platform"); and any services and products that you may access through the use of the Platform (such services and products, the "Services").

The Services available through the Platform may include: (i) general information on health and wellness topics; (ii) access to wellness coaching programs on various topics such as gut health and sleep; (iii) access to wellness coaches for lifestyle improvement, informational, and educational use.

All health and wellness information or resources available on the Platform are for informational purposes only, and are not a substitute for direct health care services nor are they an indicator of specific results. Intea does not provide medical advice or care. The solutions provided by Intea are not intended to diagnose or treat disease, nor are they a substitute for seeking professional medical advice, help, diagnosis, or treatment.

The Platform is structured for use specific to certain lifestyle, wellness, or health care services and is not, and should not, be considered, or used as comprehensive medical advice, care, diagnosis, or treatment. Always seek the advice of your physician or other qualified health care provider with any questions you may have regarding general personal health, medical conditions, or drugs or medications, and before commencing or discontinuing any course of treatment, drug, or medication. THIS PLATFORM AND THE SERVICES MAY NOT BE APPROPRIATE FOR YOUR CLINICAL OR MEDICAL CONDITIONS OR NEEDS. To the fullest extent possible under applicable law, all suppliers of Services, including all wellness coaches accessed or purchased on the Platform, shall be beneficiaries of, and possess the right to enforce, any and all rights, remedies, disclaimers, limitations, waivers, or other legal or equitable remedies or benefits available to Intea and its affiliates under these Terms and Conditions.

IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS, INCLUDING THE MANDATORY ARBITRATION AND CLASS ACTION WAIVER PROVISIONS SET FORTH HEREIN, YOU MUST NOT ACCESS OR USE THE PLATFORM.

  1. ADDITIONAL TERMS AND CONDITIONS 

Your use of the Platform is governed by our Privacy Policy. Any health information that we hold is governed by our Notice of Privacy Practices.

  1. ELIGIBILITY AND AVAILABILITY 

In order to access the Services through the Platform, you represent and warrant that:

  • You are at least 18 years of age or older.

  • You live in a country or territory where the Intea Health Platform is available.

  • You agree to be legally bound by and comply with these Terms and Conditions.

  • You have compatible computing and/or mobile devices, sufficient access to the Internet, and certain necessary software in order to use the Platform. Fees and charges may apply to your use of the mobile services and to the Internet.

If you do not meet all of these requirements, you must not access or use the Intea Health Platform or any Services available through the Platform.

You understand and agree that satisfying the above requirements does not guarantee that you will receive the Services through the Platform. Certain Services may only be available to individuals who satisfy additional eligibility criteria. We reserve the right to change or include new requirements as deemed appropriate in our sole discretion without providing prior notice to you.

Intea Health is based in Singapore. We provide the Platform and our Services for use only by individuals located in countries where we operate. We make no claims or representations that the Platform or any of the content made available therein is accessible or appropriate outside of these countries. Access to the Platform may not be legal by certain persons or in certain countries. If you access the Platform from outside our operating countries, you do so at your own risk and are responsible for compliance with local laws.

  1. ACCOUNT REGISTRATION 

  • To access certain Services on the Intea Health Platform, you will be required to set up an account (an "Account"). To obtain an Account, you may be asked to provide certain registration details or other information. It is a condition of your setting-up an Account that all the information you provide is correct, current, and complete.

  • You acknowledge that your Account is personal to you and you agree not to provide any other person with access to the Platform using your username, password, or other security information. You should use particular caution when accessing your Account from a public or shared computer so that others are not able to view or record your password or other personal information.

  • We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason. We may store, transmit, receive, and/or access your data on or from our own servers or those of our service providers which may be in or outside of Singapore.

  1. SERVICES AND PRODUCTS ACCESSED ON THE PLATFORM 

This Section 5 describes the Services that may be accessed on the Intea Health Platform.

A. Health and Wellness Information; Not Healthcare or Medical Advice The contents of the Intea Health Platform, such as text, graphics, images, and other materials created by us or obtained from our licensors, are for informational purposes only. The solutions provided by Intea are not intended to diagnose or treat disease, nor are they a substitute for seeking professional medical advice, help, diagnosis, or treatment. Always seek the advice of your physician or other qualified health professional with any questions you may have regarding a medical condition. If you think you may have a medical emergency, call your healthcare professional or your local emergency number immediately.

B. On-Demand Wellness Coaching Services: i. Scheduling and Obtaining Wellness Coaching

The Platform allows users to request, schedule, and obtain specific wellness coaching sessions from certified coaches. The Wellness Coach will determine the scope of services for guidance, advice, and care, consistent with the offerings described on the Platform.

Payment Terms for Wellness Coaching:

Unless specified differently in the Additional Terms and Conditions, fees for Wellness Coaching will be collected by our company or our designated collection agent.

Depending on your health insurance plan, some portion of your Wellness Coaching fees might be billable to your insurance. If we can bill your insurance directly, your insurance will be billed net of any copayments or other patient responsibility amounts. You'll also be responsible for "no show" charges if you miss or cancel a scheduled session with less than three (3) hours' notice.

By providing payment details, you authorize us to charge for your use of the Wellness Coaching services, including any applicable taxes. If you choose not to enter your health plan billing details, you'll be seen as self-pay.

C. Wellness Program Bundles: i. Wellness Program Offerings

The Platform may allow users to request, schedule, and obtain a series of bundled wellness encounters tailored for specific health goals. These might include health evaluations, product orders, patient education, and more, as described in Additional Terms and Conditions.

Payment Terms for Wellness Program Bundles:

Fees for Wellness Program Bundles will be collected by us. The Wellness Program Services and related Coaching are paid for by you and are not intended to be reimbursed by any health plan. You agree to pay upfront fees for all aspects of the Wellness Program, with no guarantee of refunds after purchase. No prescriptions or specific outcomes are guaranteed.

You understand and agree that you're responsible for all fees associated with the Wellness Program, including any charges by the coaching.

Subscription-Based Wellness Program Membership: i. Program Elements of Wellness Program Membership

To support individuals with long-term health goals, the Platform may offer bundled health encounters and related services or products. These are not intended for emergencies but for ongoing health guidance.

Program Elements and Excluded Services and Products:

Wellness Program Memberships may include coaching, delivery of a welness plan, periodic check-ins, and related services or products. Any service or product not expressly included in a Wellness Program Membership is considered excluded.

Not Insurance: 

A Wellness Program Membership is a direct health care service and is not a substitute for health insurance.

Your Health Insurance; Prior Authorization:

You're responsible for all fees associated with the Wellness Program Membership. There's no guarantee that your insurance will cover any part of the fees.

Payment Terms:

Fees for Wellness Program Memberships are payable as fixed monthly or quarterly recurring charges. You'll have an opportunity to review and agree to the cost before purchase. Once purchased, charges will be recurring until the membership is terminated.

D. Other Health and Wellness Products:

The Platform may offer various health and wellness products. These products and their claims might not have been evaluated by the FDA.

The Platform may offer Product Subscriptions for periodic purchases. We reserve the right to adjust Product Subscriptions at any time.

  1. PURCHASES, SHIPPING, AND PAYMENT METHODS

A. Ordering Wellness Coaching and Products

When you're interested in our wellness coaching or any other product, please take the time to read their descriptions in full before making a purchase. We hold the right, at our discretion, to refuse or cancel any order for various reasons. This could be due to stock limitations, discrepancies in pricing, or other concerns. If for any reason your order is canceled after your card has been charged, we will promptly issue a credit to your card for the charged amount.

B. Pricing Information

Our prices for wellness coaching and other products can change without prior notice. While we strive for accuracy, there might be instances where pricing or typographical errors occur. In such cases, we reserve the right to refuse or cancel any orders placed for that item. If an item's price is incorrect, we may either reach out to you for further instructions or cancel your order, notifying you of the cancellation.

C. Shipping

All shipping and handling charges specified during the ordering process will be borne by you. These charges cover the costs we incur in processing, handling, packaging, shipping, and delivering your products. Occasionally, as indicated on the product description page, we might offer free or reduced-price shipping for qualifying orders. It's important to note that shipping and delivery dates are merely estimates and cannot be guaranteed. We are not liable for any shipment delays. 

D. Payment Method and Taxes

For purchasing our wellness coaching or other products on the platform, you can use various payment methods, including credit or debit cards. However, we reserve the right to accept or refuse any payment made in any form. By providing your payment details, you expressly agree that we are authorized to charge your payment method for your purchases, along with any applicable taxes. We use Stripe as our third-party payment processor. We are not responsible for any actions or omissions by Stripe. We also reserve the right to refuse or cancel your order if we suspect any unauthorized or fraudulent transactions.

E. Recurring Payments for Wellness Programs and Product Subscriptions

If you opt for our wellness programs or product subscriptions, your payment method will be charged automatically at regular intervals. If your payment fails, we will place your wellness program or product subscription on hold for seven days. If the payment doesn't go through after the second attempt, your subscription will be canceled. To avoid any inconvenience, we recommend canceling at least 24 hours before the next scheduled charge.

F. REFUNDS

While we reserve the right to issue refunds or credits for any service or product at our sole discretion, it's essential to understand that if we provide a refund or credit once, it doesn't obligate us to do so in the future.

  1. PRIVACY NOTICES 

Your interaction and use of our platform are governed by our Privacy Policy. Any health-related information that we hold on behalf of our partners is governed by our or the respective partner's Notice of Privacy Practices.

  1. CHANGES TO THE TERMS AND CONDITIONS 

We may revise and update these terms and conditions from time to time. If significant changes are made that could impact your use of our platform, we will make every effort to notify you, whether it's through a direct notice on the platform, an email notification, or any other reasonable method. Your continued use of our platform after any changes signifies your acceptance of these changes.

  1. ACCESSING THE PLATFORM 

We reserve the right to modify or withdraw our platform at any time without prior notice. We won't be held liable if, for any reason, our platform is unavailable for a certain period. Occasionally, we might restrict access to certain parts of the platform or the entire platform.

  1. INTELLECTUAL PROPERTY RIGHTS

Ownership and Restrictions: Our platform, inclusive of all its features, functionalities, and content (ranging from software, text, images, videos, audio, and their design and arrangement), is the intellectual property of our company, our licensors, or other content providers. This property is protected under Singapore and international intellectual property laws. No rights or titles related to the platform or its content are transferred to you. Unauthorized use of the platform is a violation of these terms and may infringe upon copyright and trademark laws. Our company's name, logos, slogans, and other trademarks are our exclusive property. All other trademarks, logos, and designs on the platform belong to their respective owners. Unauthorized use of these trademarks is prohibited without our written consent.

Your use of the platform is restricted to personal, non-commercial purposes. You're prohibited from modifying, distributing, creating derivative works, publicly displaying, or transmitting any content from our platform, with a few exceptions:

  • Temporary storage of materials in RAM during access.

  • Storing files auto-cached by browsers for display enhancement.

  • Printing or downloading limited pages for personal use.

  • Downloading our apps for personal use, given you agree to our end-user license agreement.

  • Using our social media features for sharing, as permitted.

User-Generated Content: If you provide content on our platform, you grant us a perpetual, global, royalty-free license to use, modify, publish, and distribute this content. You're responsible for ensuring that your content doesn't infringe upon any rights and is not misleading, unlawful, or offensive.

Suggestions: Any ideas or proposals you submit to us become our property without any obligations. You won't be entitled to compensation for these suggestions.

  1. PROHIBITED USES

You're expected to use our platform lawfully and in line with these terms. Any unauthorized or harmful activities, including impersonation, spamming, or introducing malware, are strictly prohibited.

  1. RELIANCE ON INFORMATION POSTED

Content from third parties may be present on our platform. We're not responsible for the accuracy or reliability of such content.

  1. DATA ACCURACY

We strive for data accuracy on our platform. If you find any discrepancies, please contact us.

  1. THIRD-PARTY LINKS

Our platform may have links to third-party sites. We're not responsible for the content or practices of these sites.

  1. ELECTRONIC COMMUNICATIONS

By using our platform, you consent to electronic communications and agree that all agreements and notices provided electronically are equivalent to their written counterparts.

  1.  ACCOUNT SECURITY

If you create an account, you're responsible for maintaining its security. Any misuse or unauthorized access to protected areas using your credentials is your responsibility.

  1. USER CONTENT GUIDELINES

User Content is any content, materials or information (including, without limitation, any health information, medical history, conditions, problems, symptoms, personal information or protected health information, consent forms, agreements, graphics, messages, videos, photographs/images, data, questions, requests, comments, suggestions, etc.) that you upload, send, e-mail, display, distribute, post or otherwise transmit to us, at our request or on your own, on, or through the Platform. You agree not to provide any User Content that (a) is false, inaccurate, defamatory, abusive, libelous, unlawful, obscene, threatening, harassing, fraudulent, pornographic, or harmful, or that could encourage criminal or unethical behavior; or (b) violates or infringes privacy, copyright, trademark, trade dress, trade secrets, or other intellectual property rights, proprietary rights, or any other applicable law or regulation.

Your privilege to use the Platform depends on your compliance with the conduct guidelines set forth above. We reserve the right to monitor your account and may revoke your privileges to use all or some of the Platform and/or take any other appropriate measures, including the removal of any public posts you make that violate these guidelines, to enforce these conduct guidelines if we become aware of violations. If you fail to adhere to these conduct guidelines, or any other part of these Terms and Conditions, we may terminate, in our sole discretion, your use of, or participation in, any part(s) of the Platform. Any violation of this section may also subject you to civil and/or criminal liability.

  1. DISCLAIMER OF WARRANTIES

You acknowledge that we cannot guarantee that files or content from the Platform or the internet will be devoid of viruses, malware, or other harmful elements. It's your responsibility to have adequate anti-virus measures and data backup mechanisms. We won't be held responsible for any damage caused by harmful elements that may infect your devices due to your use of the Platform or any content obtained from it.

Your use of the Platform and its content is at your own risk and is provided "as is" and "as available." We, along with our partners and affiliates, make no warranties or representations about the Platform's completeness, security, reliability, quality, or accuracy. We disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

  1. LIMITATION ON LIABILITY

Under Singapore law, neither we nor our affiliates, licensors, service providers, or their respective employees, agents, or directors will be liable for any damages arising from your use of the Platform, its content, or any services/products obtained through it. This includes damages from viruses, errors, interruptions, or any other issues. If you're dissatisfied with any part of the Platform, your sole remedy is to stop using it.

  1. TERMINATION

We reserve the right to terminate your access to the Platform at any time, for any reason. We won't be liable to you or any third party for any termination of your access.

  1.  DMCA NOTIFICATION

We respect intellectual property rights. If you believe any content on the Platform infringes upon your rights, you can report it to us following the Digital Millennium Copyright Act. Please provide detailed information about the alleged infringement and contact our designated agent at:

  1. DISPUTE RESOLUTION

Any disputes related to these Terms and Conditions or the Platform will be resolved through confidential arbitration in Singapore, administered by the American Arbitration Association. All arbitration proceedings will remain confidential.

  1. GOVERNING LAW AND JURISDICTION

All disputes related to these Terms and Conditions or the Platform will be governed by the laws of Singapore, regardless of where you access the Platform.

  1. CLASS ACTION WAIVER

All disputes will be handled individually, and not as a class action. Both parties waive any right to participate in a class action lawsuit or class-wide arbitration.

  1. LIMITATION OF TIME TO FILE CLAIMS

You must file any claims or disputes against us within one (1) year of it arising. If not filed within this period, the claim is permanently barred.

  1. MISCELLANEOUS

    1. Notices. By using the Platform, you consent to receiving notices from us, including updates to these Terms and Conditions, via the email address you provide. Continuing to use the Platform after receiving such notices implies your acceptance of any changes.

    2. Entire Agreement. These Terms and Conditions represent the complete understanding between you and us regarding the Platform, overriding any prior or simultaneous agreements, whether oral or written. Neither party's delay in exercising any rights under these terms will be considered a waiver of those rights. If there's a conflict between these Terms and Conditions and any other terms (except for any Additional Terms and Conditions agreed upon under these terms), these Terms and Conditions will prevail. If any part of these terms is deemed unlawful or unenforceable, the rest will remain in effect. Section and paragraph headings are for convenience and don't influence interpretation.

    3. Assignment. We reserve the right to transfer these Terms in scenarios like mergers, reorganizations, asset sales, or by law.

    4. Your Comments or Concerns. The Platform is managed by Intea. For feedback, technical support, or other communications related to the Platform, please reach out hello@inteahealth.com.
